Yext Partner Product Descriptions and Related Terms
The following select Product descriptions and related terms are incorporated into and form part of your Partner Agreement (or similar agreement relating to the resale of Yext Products) (“Partner Agreement” or “Agreement”). The below descriptions and terms will only apply to the extent you have purchased or have access to the applicable Products or features. Any capitalized terms used herein and not defined shall have the meaning set forth in the Partner Agreement. Capacity Product(s)
Answers
The Answers Capacity Product will provide Partner with a specific Searches (defined below) limit per year as set forth in the fee table in the applicable Subscription Schedule in the cumulative across all Clients accessing the Answers Experience Product. For purposes of clarity, Partner will receive a pro-rated number of included Searches for any partial year period at the end of the Commitment Term (and/or during the Commitment Term if the Commitment Term is a partial year period). A “Search” is counted each time a visitor runs a search on a Client site powered by the Answers Experience. This could occur from entering a search term, applying a facet, adjusting a filter, or any other action that triggers a new set of search results. Pagination is considered the same set of results so going to page 2 of a set of search results does not count as a second Search. Query Suggestions (autocomplete) is also not factored into the number of Searches. Finally, any searches from known bots are excluded from this metric. Partner may exceed the Searches limit per year (or the prorated Searches limit for any partial year period) by 3% (the “Search Buffer”). In the event Partner exceeds the Search Buffer, Yext reserves the right in its sole discretion to disable and/or modify Partner’s (and Clients’) ability to make further changes to its Answers configuration. In the event Partner reaches the Searches limit, Yext may notify Partner via email to the contact on file or by another method. Following such notification, upon Partner’s request, Yext and Partner will enter into good faith negotiations regarding an updated Search limit, subject to a mutually agreed-upon replacement Subscription Schedule that has a new End Date that is no earlier than the End Date on the Subscription Schedule being replaced, unless otherwise mutually agreed upon by the Parties in writing.
Subscription Products
Answers Experience
The Answers Experience Product shall include up to 1,000 entities per subscription. Notwithstanding anything to the contrary in the applicable Partner Agreement, Partner may resell the Answers Experience Product only (and no other Products) to any Client (including an Enterprise) so long as such Client is not listed in the most recent Fortune 1,000 list. Yext may cancel any subscription that it deems to violate the preceding sentence. In the event a non-Fortune 1,000 Client purchases the Answers Experience Product from Partner and a Fortune 1000 company that is affiliated with (e.g., a parent to) such Client (the “Parent”) subsequently purchases relevant Product subscriptions directly from Yext on behalf of such Client, Partner acknowledges: (i) account access for the Answers Experience Product that the Client has purchased for that Enterprise Client will be transferred from Partner to the Parent and (ii) Partner will no longer be charged for the relevant Product subscription(s) and will receive a credit for any unused portion of the Product subscription(s) that Partner purchased for the applicable Client.
